Master Of Subscription Agreement

Each written order can be executed in return, each being considered original, but all considered to be the same agreement. The receiving party will take the same care it uses to protect the confidentiality of its own confidential information of the same nature (but no less due diligence) (i) not to use the disclosure party`s confidential information for purposes outside the scope of this agreement: and (ii) unless otherwise written permission from the revealing party, confidential information provided by the disclosure party is only shared with the staff and contractors of its partners who require such access for purposes consistent with this agreement and who have signed confidentiality agreements with the receiving party, which contain no less stringent safeguards than those mentioned above. Neither party will disclose the terms of this contract or an order form to third parties, companies other than their partners, legal advisors and accountants without the written prior consent of the other party, provided that a party who makes such disclosure to its partner, legal counsel or accountant remains responsible for the compliance of this section 8.2 by these partners, legal advisors or accountants. 5.1 Each party protects the other party`s confidential information from unauthorized use, unauthorized access or disclosure in the same way that each party protects its own confidential information, but with due diligence. unless expressly authorized by this agreement, each party may use the other party`s confidential information exclusively for the exercise of its respective rights and fulfill its obligations under this agreement, and (a) disclose this confidential information (a) exclusively to staff members and/or non-employee service providers and service providers who must be aware of this confidential information and which are bound by confidentiality rules designed to prevent the misuse of such confidential information; (b) if necessary, to comply with an order or summons of an administrative authority or competent court; or (c) as is reasonably necessary to comply with applicable legislation or regulations.
